Corporate and Securities Litigation

Our Corporate and Securities Litigation team represents leading national and international public companies, investment banks, accounting firms and their executives and directors in courts throughout the U.S.

We try securities cases when necessary, and have won a defense verdict in the largest securities class action trial in history.  Working closely with our recognized Securities Enforcement and Regulation, Professional Liability and Financial Restructuring teams to further advance clients’ defense and commercial interests, our team also:

  • represents companies (both buyers and sellers) and their directors, committees of directors, officers and financial advisors in litigation arising from mergers, acquisitions and other strategic transactions;
  • guides corporate boards through complex internal investigations and SEC proceedings; and
  • represents officers and directors in breach of fiduciary duty and fraudulent transfer lawsuits in bankruptcy proceedings.

Although we are the dominant defense firm for securities matters filed in the Southeast and the Southwest (handling more securities class actions in the 5th and 11th Circuits than any other firm), we have a national and international practice with more than 100 dedicated securities practitioners in offices in New York, Washington, D.C., Georgia, Texas, Illinois and California as well as in offices in Europe and Asia. Our seasoned litigators have acted on behalf of Global 100 clients as lead defense counsel in hundreds of securities class actions, derivative lawsuits, and SEC investigations and enforcement actions in courts nationwide. In class actions alleging securities fraud, we have won scores of cases for clients on motions to dismiss, class certification, summary judgment and at trial.

Notably, our pretrial dismissal rate exceeds the national average in an environment where dismissals continue to play an important role. Our track record of success is why we are panel counsel for, and are regularly recommended by, major D&O insurance carriers and brokers.
