Foreign Investment Review
As cross-border transactions become more complex and the Committee on Foreign Investment in the United States (CFIUS) expands its impact, it is increasingly important for parties to partner with experienced counsel. Our market-leading practice regularly assists companies in navigating the entire spectrum of foreign investment reviews, providing unparalleled insight into the inner workings and perspective of CFIUS.
We have secured CFIUS clearance in many highly sensitive transactions and regularly advise clients on non-notified transactions, filings of declarations and notices, mitigation negotiations, compliance and enforcement. We have extensive experience in assessing the impact of foreign participation in mergers and acquisitions, private equity and sovereign investments, and other transactions involving national security sensitive industries.
Our experience extends to other investment-related national security reviews, including those conducted by the EU and other countries, as well as those involving the Department of Commerce’s Office of Information and Communications Technology and Services (OICTS), the Committee for the Assessment of Foreign Participation in the United States Telecommunications Services Sector (also known as “Team Telecom”), and the Department of Treasury’s outbound investment regime, among others. Our team includes former national security government officials and a former Treasury official who recently helped lead the office that chairs CFIUS.
