Keith Townsend specializes in representing public companies with respect to capital markets transactions, governance matters and mergers and acquisitions. Keith also represents underwriters in a wide variety of capital markets transactions. Keith is the former head of our Corporate Practice Group and currently leads our Capital Markets Practice.
Keith’s capital markets experience includes initial public offerings, secondary offerings, “shelf” offerings, “at-the-market” offerings and Rule 144A offerings, as well as private placement transactions, tender offers, exchange offers, consent solicitations and other corporate reorganization and liability management transactions.
Keith also has substantial experience in advising public company clients on governance issues, Securities and Exchange Commission reporting and disclosure requirements, and other corporate and securities matters. He represents these clients in merger and acquisitions, tender offers, spin-offs and divestitures.
Keith is a member of the firm’s REIT practice, which is industry-ranked by Chambers. He is also a member of the National Association of Real Estate Investment Trusts.
Keith has been recognized by Chambers USA, M&A Advisor and Georgia Super Lawyers.
