Jonathan Ching is a partner in King & Spalding's Finance & Restructuring practice in New York. He advises financial institutions, insurance companies, hedge funds, investment managers, and midstream commodities clients on structured finance, derivatives, commodity-linked finance, and digital asset matters. Drawing on his in-house experience at JP Morgan, Bear Stearns, and D. E. Shaw & Co., LP, Jonathan provides practical, strategic advice on the most novel and sophisticated transactions in the market.
Jonathan's practice centers on bespoke structured finance transactions involving commodities, digital assets, and a broad range of financial assets. He guides fund managers and borrowers on financing strategies spanning NAV-based facilities, collateralized fund obligations, and rated feeder structures, and advises investors in asset backed finance transactions across esoteric asset classes such as life settlements, structured settlements, brokerage commission streams, wage advance products, and medical receivables. His work further spans warehouse facilities, securitizations, subscription lines, hybrid financing arrangements, structured notes, OTC derivatives, margin loans, and capital relief trades, including transactions that combine securitization techniques with derivative products.
Jonathan's commodity finance practice is centered on highly structured transactions, including inventory financing and monetization, intermediation arrangements, and other lien-based commodity structures for the energy markets. He has extensive experience structuring and negotiating custom and standardized energy commodity master agreements, including the ISDA and its various annexes, EEI, and NAESB, and related supporting documents. His experience spans a full range of natural resources, including crude oil and refined products, metals, agricultural products, natural gas liquids, and renewables.
Jonathan advises emerging companies, financial institutions, and investment managers on the use of blockchain, crypto assets, and tokenization across the capital markets, including the securitization and warehousing of crypto collateralized loans, token launches, market infrastructure, and trading and settlement solutions. He also counsels financial sponsors, institutional investors, and non-profit organizations on documentation, custody, lending, and pledging digital assets.
