Bio

Fernand Arsanios helps private equity sponsors, private debt funds, financial institutions, multilateral institutions and international corporations structure and execute complex acquisition, leveraged and project financings across Europe and the MENA region. His practice covers the full lifecycle of complex financing transactions, from structuring and negotiation of the main terms through closing and, where necessary, restructuring, and spans unitranche, PIK, mezzanine, second-lien, senior secured, corporate and project finance facilities, giving clients a single point of contact for even the most layered capital structures. He provides commercially focused advice on bespoke debt solutions and cross-border transactions, helping clients secure and deploy capital, manage legal and execution risk, navigate complex deal structures and achieve strategic investment and growth objectives.

A significant part of Fernand’s practice involves advising leading sponsors, developers, international banks and multilateral institutions on energy and infrastructure transactions. He has regularly acted for developers and major development banks, structuring project finance facilities for power generation, including renewables, representing more than 2.9 GW of installed capacity, digital infrastructure and critical infrastructure assets.

He is equally active in representing private equity sponsors throughout Europe and the MENA region, tailoring documentation and deal structures to the commercial pressures fund managers face, from deployment timelines to covenant-lite expectations. Financial institutions and private debt funds also turn to him for advice on syndicated lending, elaborate unitranche structures and complex intercreditor arrangements.

Having practiced in France, England, Lebanon and the United States, Fernand bridges differing legal traditions and coordinates multi-jurisdictional financings efficiently across common-law and civil-law regimes, anticipating issues before they become obstacles and reducing friction for stakeholders on all sides of the table. Clients operating in the MENA region benefit from his understanding of the business culture, regulatory landscape and financing practices that distinguish the region, while European counterparties value his ability to integrate those considerations into documentation that meets international market standards. His approach is defined by close collaboration, practical risk management and clear, actionable advice, ensuring that the legal framework he puts in place supports, rather than constrains, the deal his clients set out to achieve.
