Jake Harris is an associate in the Atlanta office of King & Spalding and a member of the firm’s Corporate, Finance and Investments practice group. Jake's practice focuses on fund formation and offerings, domestic and multinational joint venture formations, secondary transactions and general corporate matters for public and private companies and private equity funds, including SEC regulatory compliance matters. Jake has experience advising institutional investor clients in connection with investments in private equity and other commingled vehicles, including funds, co-investments and separately managed accounts.

Jake earned his J.D., with high honors, from the Emory University School of Law, where he served as a Managing Editor of the Emory Law Journal, and his M.B.A. from the Goizueta School of Business at Emory University, where he served as a board member of the Real Estate Private Equity Board. In addition, he earned a Certificate in Transactional Law and served as a student attorney in the Turner Environmental Law Clinic. Jake earned his B.B.A. in Finance, magna cum laude, from the University of Georgia.

The joint venture was formed to acquire Summit Industrial Income REIT and to pursue programmatic acquisitions and developments of other industrial real estate. Also advised Dream Asset Management Corporation in respect of certain services to be provided to the joint venture and its assets.

Westplan Investors Partial Sale of Platform. Advised Westplan Investors in respect of the sale of interests in its real estate operating platform, which develops and acquires multifamily apartment communities in the southeast U.S. primarily for Dutch high net worth and family office investors, to Brooks Capital Management and HB Management and their respective principals.

CARROLL Formation of Carroll Multifamily Venture VII, L.P. Advised CARROLL in the sponsoring and formation of the Carroll Multifamily Venture VII, L.P. Data Center Joint Venture Formation. Advised a client on the formation of a $260 million joint venture with partner comprised of a syndicate of non-U.S. investment firms to design and develop a data center campus in Virginia, USA that is scalable up to 1,000,000 square feet or 60 megawatts, for both hyperscale and enterprises uses.

Nuveen Acquisition of Greenworks Lending. Advised Nuveen, the global investment manager of TIAA, in the acquisition of Greenworks Lending, a national leader in Commercial Property Assessed Clean Energy (C-PACE) financing.

Iron Mountain Joint Venture Formation with AGC. Advised an affiliate of Iron Mountain Incorporated (NYSE: IRM) in a cross-border transaction in the formation of a EUR 300 million+ joint venture with an affiliate of AGC Equity Partners to design and develop a 280,000 square foot, or 27 megawatt, hyperscale data center in Frankfurt, Germany.

Ventas, Inc. Formation of Ventas Life Science and Healthcare Real Estate Fund. Advised Ventas, Inc. (NYSE: VTR) in the sponsoring and formation of the Ventas Life Science and Healthcare Real Estate Fund, L.P. (the “Fund”), a perpetual life vehicle that focuses on investments in core and core plus life science, medical office and senior housing real estate in North America. At inception, the Fund had more than $700 million in assets under management and third-party equity commitments of approximately $650 million from globally respected institutional investors, with targeted third-party equity commitments of $2.5 billion.

Columbia Property Trust, Inc. Acquisition of Normandy Real Estate Management, LLC. Advised Columbia Property Trust, Inc. (NYSE: CXP) as it entered into a definitive agreement to acquire the property and investment management businesses of privately-held Normandy Real Estate Management and equity stakes in Normandy's ongoing private funds for cash and stock consideration consisting of convertible preferred units in CXP's operating partnership.

Americold Acquisition of Cloverleaf Cold Storage. Advised Americold Realty Trust (NYSE: COLD) as it entered into a definitive agreement to acquire privately-held Cloverleaf Cold Storage from Cloverleaf management and an investor group managed by Blackstone (NYSE: BX) for a purchase price of $1.24 billion.
