PALO ALTO, Calif., April 2, 2015 — Ellen N. Sueda has joined King & Spalding’s corporate practice group as a counsel in its Silicon Valley office. Sueda will focus on advising the firm’s corporate clients on executive and equity compensation issues, including start-up and early-stage clients in California. Sueda joins King & Spalding from Seyfarth Shaw, where she was a senior counsel in its employee benefits and executive compensation department.

Sueda is a compensation specialist across several areas of law, advising clients on issues related to executive compensation, including corporate aspects of employment, compensation and benefit arrangements; securities issues arising from the issuance of stock, options or similar equity incentives to executives as compensation with or without registration of the securities; proxy disclosure under U.S. Securities and Exchange Commission rules on executive compensation and benefits paid to the members of senior management of public companies; California securities and employment laws affecting these kinds of arrangements; tax issues under IRC 280G, 162(m) and 409A; and ERISA issues. In addition to her corporate, securities and employment work, Sueda will coordinate with King & Spalding tax and ERISA lawyers.
Sueda received a B.S.I.E. degree from Rensselaer Polytechnic Institute, a J.D. degree from Lewis & Clark College Northwestern School of Law and an L.LM degree from the University of Florida.
