The New York office of King & Spalding seeks an associate for its dynamic and growing Finance team. Ideal candidates will have 2-5 years of experience negotiating and executing complex finance transactions, including experience representing lenders, investors, borrowers and issuers in leveraged finance, acquisition finance, asset-based lending, unitranche, first lien/second lien, mezzanine and/or subordinated debt financings, and distressed debt and restructurings. The practice group’s wide range of clients include leading investment and commercial banks, non-bank lenders, including private debt funds, private credit and direct lenders, BDCs, mezzanine funds and hedge funds, and sponsored and corporate borrowers and issuers. Candidates should be self-starters with great client management skills, superior academic credentials, and strong deal experience from a large law firm. Structured Finance
# of positions: 2 | Years of Experience: 4 – 7+
Location: New York
Type of Experience: King & Spalding seeks a mid-level associate and senior associate or counsel for its structured finance team in New York. Ideal candidates should have experience representing financial institutions as issuers, underwriters, borrowers, lenders, sellers, and/or purchasers in a variety of asset-backed securitization and structured lending transactions, but general capital markets and/or leveraged finance experience coupled with an interest in esoteric securitization also encouraged to apply. The practice focuses on matching business-focused structures with capital in connection with esoteric and first-of-their-kind transactions. Opportunities will include esoteric capital markets securitization (both capital markets issued and privately placed), with a particular focus on whole business, digital infrastructure and media royalty securitizations, and structured private credit facilities. Candidates should have superior academic credentials and previous large law firm experience.

Underwriting and Structured Finance Associate

Location: New York
Type of Experience: King & Spalding seeks a mid-level associate for its underwriting and structured finance and capital markets team in New York. Ideal candidates should have experience advising financial institutions on securities offerings under the Securities Act of 1933, including representing issuers and underwriters in registered and exempt transactions. Familiarity with disclosure requirements, offering documentation, and compliance matters under the 1933 Act is essential. Candidates with general capital markets or leveraged finance backgrounds and a strong interest in securities law are encouraged to apply. The practice provides for a mix of esoteric asset-backed securities offerings, registered equity underwriting offerings, public-company M&A, at-the-market offerings, and special purpose acquisition companies. Candidates should have superior academic credentials and prior experience at a large law firm.
