King & Spalding Advised Roark Capital Group in the Sale of Pet Supermarket Inc. to Pet Retails Brand Ltd.


King & Spalding advised our client RCPS Holding Corporation, an affiliate of our client Roark Capital Group and an indirect parent of Pet Supermarket, Inc., as it was acquired by a newly-formed British Columbia holding company, Pet Retails Brands Ltd.  Following the merger and an extensive and highly complex internal restructuring and refinancing, PRBL now indirectly owns both Pet Supermarket and Pet Valu, Inc.  Pet Supermarket is the largest specialty retailer of pet food and pet-related supplies based in the southeastern U.S. while Pet Valu is Canada’s leading small-format specialty retailer of pet food and pet supplies, with franchised and corporate stores in Canada and the U.S.  Prior to the transaction, both Pet Supermarket and Pet Valu were owned principally by investment funds managed by Roark Capital Partners, though Pet Valu was a portfolio company of Roark’s second fund while Pet Supermarket was a portfolio company of Roark’s third fund.
