Backed by deep market knowledge and real-world engineering experience, we build clear, enforceable agreements that advance commercial objectives.

Our team has advised on projects in more than 75 countries, including emerging markets and uncharted jurisdictions, across manufacturing, energy and power (including renewables), petrochemical, infrastructure, public-private partnerships (PPP), and oil and gas. Supported by the firm’s project finance, environmental, international arbitration, and construction litigation practices, we collaborate to structure contracts – including for largest- and first-of-their-kind projects – built to be workable in the market and, where needed, bankable for project-financed deals.

Since we represent owners, developers, and lenders in transactions almost exclusively, we support clients throughout the construction process – including disputes – without the conflicts that limit more general construction practices. More than two-thirds of our construction transactional lawyers are former engineers and construction professionals who work closely with engineers and consultants to coordinate terms with technical exhibits and avoid common documentation pitfalls; our team also includes former construction litigators, bringing practical insight into how projects fail and how to draft to reduce claims.

We advise on project conception through punch list completion and beyond, including selecting the appropriate delivery system and contractual structure; drafting and negotiating engineering, procurement and construction (EPC), design-build, engineering, procurement and construction management (EPCM), construction, construction management, engineering, architectural, program management, and development agreements; and negotiating construction- and operation-related agreements such as equipment supply, O&M agreements, and long-term service agreements (LTSA). We also help clients proactively manage legal risk during execution – drawing on decades of experience managing delays, scope changes, loss of productivity, and other impacts that may threaten project outcomes.

Clients also engage us for project counsel services during construction. We have an instinct for when project developments require legal review, and we regularly support owners and contractors during execution – on mega- and giga-projects across industries and jurisdictions – to identify issues early and mitigate the risk of claims and disputes. We are proactively involved in energy transition projects supporting net-zero goals, including solar and wind power and innovative projects involving biodiesel, hydrogen, and carbon sequestration.

Our construction procurement practice focuses on complex procurement for clients’ projects and operations – particularly in the energy and industrial sectors. We develop procurement strategies, launch requests for proposals, and assist with bid competitions; draft and negotiate purchase agreements, framework agreements, purchase orders, pricing agreements, and long-term service agreements; and support overall procurement program management. At the asset level, we advise on transaction structuring and bring stakeholder experience and a deep understanding of the development process and commercial agreements to support diligence and negotiation in acquisitions.
