Carolyn Zander Alford

• Advising the lead arranger on the structuring and negotiation of a structured term loan B financing of up to $700 million for an AI infrastructure platform that provides significant GPU capacity to support the deployment and operation of customers' cutting-edge AI models.
• Represented Goldman Sachs, as structuring agent and lender, in connection with a $1 billion asset-backed term loan facility for Altice USA, a leading broadband and telecommunications provider with nearly 10 million passings across a 21-state U.S. footprint. July 2025.
• Represented the lead arrangers in arranging committed acquisition financing expected to bridge to a fiber securitization, backing the joint venture of GFiber and Astound Broadband. Ongoing.
• Represented leading global private credit funds in providing a $825 million structured term loan facility for a portfolio refinancing of three (3) data centers in Phoenix and Chicago, managed by a premier data center services provider and operator.
• Advised a leading global private credit fund in the structured mezzanine notes purchase as part of a $2 billion asset-backed securitization, secured by a portfolio of approximately 10,000 cell towers and related wireless infrastructure assets managed by a leading wireless infrastructure operator.
• Represented leading global private credit funds and other creditors on over 15 hybrid structured unitranche financings across the wireless infrastructure space totaling more than $19 billion, supporting acquisition, refinancing, development and expansion of cell tower portfolios across the globe.

Carolyn Alford represents financial institutions, private credit funds, private equity sponsors, issuers and corporate borrowers in complex and innovative financing transactions. Her practice spans acquisition financings, structured finance, unitranche, first lien/second lien and mezzanine financings, leveraged syndicated credit facilities, private placements, asset-based lending facilities and bespoke capital solutions.

Carolyn has developed a leading practice advising on financings across the digital infrastructure space, including GPU-backed platforms, data centers, fiber networks, wireless infrastructure and other technology-enabled assets. She regularly advises lenders, arrangers, investors and sponsors on the structuring of cutting-edge financings supporting artificial intelligence, connectivity and next-generation infrastructure platforms.

Carolyn co-leads King & Spalding's Finance & Restructuring practice and serves on the firm's Management Policy Committee. Based in New York, she also serves on the board of the Children's Healthcare of Atlanta Foundation. Carolyn is a Fellow and Past President of the American College of Investment Counsel (ACIC).
