Project Development

Our Project Development team advises sponsors, developers, investors, lenders, operators and government entities on complex energy, infrastructure, industrial, power, manufacturing and data center projects worldwide. We treat project development as a core discipline – bringing together capabilities across our practices and geographies to guide clients through the full project lifecycle, from concept and development through financing, construction, commercial operations, expansion, transfers of interests / monetization and decommissioning.

With lawyers located globally, we advise on projects throughout North America, Latin America, the Caribbean, Europe, the Middle East, Asia, and Africa. Our experience across the entire project value chain gives us a deep understanding of how projects are developed and how to help our clients navigate the technical, commercial, and regulatory challenges unique to each project. Many of our lawyers previously served as in‑house project counsel or engineers at leading companies and investment banks, bringing practical, commercially grounded insight to every engagement.

We work across a the full range of sectors, including power, renewable energy (including alternative fuels such as biofuels, renewable natural gas and hydrogen derivatives), mining, metals and other commodities, nuclear energy (both large nuclear power projects (LNPPs) and small modular reactors (SMRs)), chemicals and petrochemicals, ports and terminals, pipelines, transmission systems, transport infrastructure, data centers, real estate, and social infrastructure, as well as midstream oil and gas assets such as LNG and oil & gas, carbon capture and storage, processing, and transportation. Our experience also spans hydroelectric power, district energy, underground storage, upstream oil and gas, maritime transportation, mining, and refining and petrochemical projects.

Our team is deeply involved in the development, commercialization, operation, and optimization of energy and infrastructure projects and is recognized for its ability to negotiate the full suite of project development and financing agreements, often in multiple languages. From development, construction, and financing through long‑term operations and optimization, we help clients focus on the issues that most affect value while navigating matters that fall outside standard market practice.

We advise clients on all aspects of project development and related commercial agreements, including:

    • Offtake and use agreements for all commodities, utilities and molecules
    • Power purchase agreements and virtual power purchase agreements (PPAs and vPPAs) and both grid-connected and behind-the-meter transactions
    • transportation, fuel supply, tolling, and carbon management agreements
    • real estate related matters, including land sales, leases, easements, and other real property rights
    • Permitting, licensing, and environmental approvals
    • Transmission, interconnection and pipeline agreements
    • Project development, joint-development, engineering, procurement and construction (EPC), and construction agreements
    • Operations, energy management, and asset management agreements

We also have extensive experience structuring and negotiating joint ventures and complex commercial arrangements, particularly for large‑scale and first‑of‑their‑kind projects. Our team regularly assists with:

    • Joint ventures where one partner serves as operator and related‑party contracts form part of the overall structure
    • Governance, control, liquidity, and transfer provisions
    • Structures addressing development timelines, responsibilities, and varied investor and lender requirements
