Paul Ray Nabhan

Paul Nabhan advises financial institutions, issuers and other market participants on capital markets, structured finance and securities law matters. His experience includes public and private securities offerings, special purpose acquisition company (SPAC) transactions, esoteric asset-backed securitizations and other structured finance transactions involving complex financial instruments. He also advises public companies on securities regulation, SEC reporting and disclosure obligations, and corporate governance matters.

Paul’s practice combines transactional experience with a detailed understanding of the securities, financial and accounting considerations that shape sophisticated financing structures. He has experience with securitizations involving esoteric asset classes and advises on the regulatory and disclosure issues arising in capital markets and structured finance transactions. He has also written on securities law and public company matters.

Paul brings additional experience at the intersection of law, accounting and financial technology. He has previously advised clients on technical accounting matters involving financial instruments and developed and calibrated Regulatory AI Agents for prominent financial institutions, translating securities laws, regulatory requirements and internal compliance standards into technology-enabled workflows.
