Emily M. Manns

Emily Manns focuses her practice on executive compensation and employee benefits matters, particularly those arising in public and private M&A deals, initial public offerings, reorganizations, divestitures and financing arrangements.  Emily also focuses on the tax, securities and compliance aspects of executive compensation and employee benefits matters.

Emily has advised on numerous transactions and has broad experience counseling clients on equity and other compensation programs, tax planning for deferred compensation and excess parachute payments, as well as employment, retention and transition arrangements.  Emily also advises clients on all aspects of health and welfare plans and retirement plans, including pension plans, 401(k) plans and ESOPs.
