People

Charlie Katz is Managing Partner of King & Spalding’s Northern Virginia office.  He advises emerging growth and technology companies. On transactional work, Charlie offers deep knowledge on mergers and acquisitions, private equity and venture capital transactions, divestitures, recapitalizations and restructurings, debt and equity financings and securities offerings, leveraged and management buyouts, joint ventures, and strategic investments.

In these transactions, Charlie has represented the full range of parties, including bidders, targets, private equity groups, management teams, public companies, private companies, private investors, investment banks and financing sources. He has been involved in all phases of these transactions, including initial planning, structuring, negotiation, implementation and advice.

Charlie has worked on transactions across a variety of industries, including among others technology, government contractor, education, manufacturing, communications, and other regulated businesses. He has experience in both domestic and international transactions, including the representation of parties in cross-border transactions and with multinational investors.

Clients look to Charlie on a broad range of corporate and securities and business-related matters, including directors' duties and responsibilities and other aspects of corporate governance and disclosure issues. He also has experience with transactions, financings, and corporate governance issues in financially distressed and bankruptcy situations.

In 2025, he was top-ranked for Corporate/M&A by Chambers USA and is a recommended lawyer in M&A/Corporate and Commercial - Venture Capital & Emerging Companies by Legal 500 US.
