Carol Burke is a Houston partner in our Corporate, Finance and Investments practice. Carol has more than 30 years’ experience in handling complex domestic and international corporate, finance, energy and real estate transactions representing lenders and borrowers in a variety of sectors including energy, real estate, manufacturing, retail, financial services, project finance, sports, structured finance, asset-backed securitizations, off-balance sheet financing vehicles, leveraged lease transactions, taxable and tax-exempt bond transactions and sale/leaseback facilities. Her domestic and international work includes acquisitions, dispositions, secured and unsecured lending transactions, joint venture and similar arrangements, project finance and other structured finance vehicles.

Carol has assisted public and private business entities (including master limited partnerships) with syndicated and single lender bank secured and unsecured facilities, capital market financing documentation, and public and private offerings of debt, including Rule 144A debt offerings and related exchange offers. She also focuses on the representation of companies in analyzing their balance sheet and current financial documents in order to advise management with respect to the monetization of their balance sheet.

Carol’s energy infrastructure practice experience includes infrastructure project development and financing, and acquisitions and dispositions of energy infrastructure assets. Her experience with energy infrastructure projects includes the development and financing of coal, reserve based lending of oil and gas properties, wind, solar, biomass, biofuel, waste-to-energy power generation facilities; various petrochemical projects, including methanol, ammonia, urea and propylene production facilities; pipelines, gas storage and terminalling facilities. In connection with such projects, Carol has experience in negotiating various forms of real estate agreements, joint venture agreements, power purchase agreements, and various forms of bridge, development and permanent project finance documents.

Carol’s real estate experience covers all areas of real estate, from raw land to residential development, industrial build-to-suits, healthcare, multi-family, retail, hospitality, mixed use developments, commercial and office. Her experience includes capital acquisitions and dispositions, major office lease transactions, workouts, restructures and pre-bankruptcy negotiations. Her leasing experience is both from the landlord and tenant perspective where she has negotiated leases (office, retail, industrial, warehouse, build-to-suit, and ground leases) aggregating more than five million square feet over her career. In addition, her real estate experience includes all aspect of development from permitting, development and marketing agreements, construction contracts, management agreements, restriction agreements, creation of property owner associations and home owner associations, and representation of developers and equity investors in partnership and joint venture agreements and borrowers and lenders in bridge, construction, mini-perm, permanent financing secured by real estate; mezzanine and all other forms of financing.
