Aaron represents private equity sponsors and investors in mergers and acquisitions, preferred equity investments and complex joint ventures, both domestically and internationally.  He has extensive experience advising on transactions involving power generation, energy and digital infrastructure, and technology platforms.

He has represented numerous sponsors and tax equity investors in development and financing of U.S. power generation and infrastructure assets, including natural gas and renewable power generation facilities, data center developments and co-located power generation facilities. Aaron's representative clients in the energy, power and infrastructure sectors include, among others, Argo Infrastructure, Axium Infrastructure, Capital Dynamics, Denham Capital, DESRI, Global Infrastructure Partners, Lotus Infrastructure, Macquarie Asset Management, Ridgewood Infrastructure, and Tenaska.  

Recent transactions include representation of:

  • Macquarie Infrastructure and Real Assets in its $2.2 billion investment in DESRI, a leading U.S. renewable energy independent power producer; 
  • Gigafund in the restructuring of its general partner and management company structure;
  • A major U.S. private equity fund in a bid to acquire and take private a SEC '34 Act reporting company;
  • Safanad Dubai Limited in the establishment of a multi-tier joint venture to invest more than $1 billion in co-located data centers and other digital infrastructure assets in the U.S.; 
  • IFM in a carve-out transaction to acquire Air Liquide's renewable natural gas production and distribution business in the U.S., France, Norway and Sweden; 
  • Global Development Partners S.a r.l in the restructuring of a multinational small modular nuclear reactor development company; and
  • Forge Global in a European joint venture with Deutsche Borse to expand its secondary share trading platform to Europe.

Aaron received his JD from the University of Virginia School of Law. In addition, he holds an MBA from the University of Virginia Darden School of Business Administration and a Master of Science in Engineering (MSE) in environmental engineering from the University of Michigan.

Represented ORIX USA, a division of ORIX Corporation, in a partnership with IGS Solar (IGS), a leading turnkey commercial and residential solar provider, to develop, acquire and operate a portfolio of commercial and industrial distributed solar energy generation projects across the United States.

Represented Avangrid in the sale of Enstor Energy Services, its gas trading business, to Castleton Commodities International (CCI).

Represented O-I, Inc. (Owens Illinois) in the acquisition of Nueva Fàbrica Nacional de Vidrio, a large bottle manufacturing facility in Mexico, from Grupo Modelo for approximately US$188 million.
