Jeff Malonson specializes in capital markets, mergers and acquisitions, and corporate governance matters. A partner in our Capital Markets and Mergers & Acquisitions practices, Jeff regularly advises growth-oriented clients in their most important strategic transactions. Jeff is highly regarded for his ability to navigate complex matters to achieve your objectives.

Jeff works with public and private corporations, master limited partnerships, investment banking firms and private equity firms in initial public offerings, as well as other public offerings and private placements of equity and debt securities. He advises corporations and partnerships on merger & acquisition transactions, and guides private equity firms with strategic investments and divestitures in public and private companies and partnerships. He also advises public company clients on compliance with periodic reporting, proxy solicitation and corporate governance requirements.

Jeff's core practice focuses on the energy industry, including oil and gas exploration (exploitation) and production, oil and gas mineral and royalty interest, midstream, transportation, oilfield service, oil field equipment manufacturing, liquefied natural gas, and chemical and refining companies.

In addition, Jeff regularly represents clients in connection with the organization, formation and governance of MLPs. He is experienced in drafting and negotiating a variety of governance agreements and constituent documents, including limited partnership agreements, limited liability company agreements, shareholders agreements, joint ventures agreements and joint operating agreements.

Jeff has been listed as a Texas Super Lawyer by Super Lawyers in 2014, and was named a Texas Rising Star by Super Lawyers in 2006 and 2008–2013.
