Jennifer Fenge regularly advises clients across a wide range of industries on complex domestic and cross-border finance and debt capital markets transactions. A structured finance and securitization veteran with over 25 years of law firm and in-house experience, she represents financial institutions, asset managers, investment funds and public and private companies on matters involving both traditional and esoteric asset classes, including digital infrastructure, commercial mortgages, trade receivables and equipment and consumer finance assets.
She has worked on a broad spectrum of sophisticated structured finance, securitization and capital markets transactions, including SEC-registered offerings, Rule 144A and Section 4(a)(2) private placements of ABS, RMBS, CMBS, MTNs and equity-linked notes, as well as structured credit facilities, warehouse lending facilities, letter of credit facilities, project finance, repurchase agreements, forward flow arrangements, trade and supply chain financings, ABCP programs, CLOs, restructurings, workouts, asset acquisitions and dispositions and related M&A matters. Beyond the industries and asset classes note above, Jennifer’s experience extends across various sectors including energy, telecommunications, financial services, auto finance, residential and agricultural real estate, aviation and healthcare, as well as esoteric assets such as music royalties, rate reduction bonds, insurance premium finance and whole-business securitizations.
Prior to returning to private practice, Jennifer spent over a decade in senior legal roles at Fannie Mae, Goldman Sachs and GE Capital. She began her career practicing at leading law firms in New York and London, focusing on structured finance, securitization and capital markets matters. Drawing on both private practice and in-house experience, Jennifer helps clients develop practical, commercially driven solutions to complex financing challenges, balancing legal, business, execution and risk considerations.
