The transaction is subject to customary closing conditions and regulatory approvals. Financial terms were not disclosed. The acquisition extends Salute's leadership in facility management, operations, and commissioning by adding T5 Operations' award-winning expertise to Salute's proven Direct-to-Chip liquid cooling capabilities. 

As part of the transaction, Pete Marin, Chairman & CEO of T5 Data Centers, will join the Salute board, and David Mettler, Executive Vice President of T5 Operations, will join the Salute executive leadership team. Additionally, T5 Construction will become EverOn Data Center Services, an independent data center construction company. 

Lazard served as exclusive financial advisor and King & Spalding LLP served as legal counsel to T5 Operations, LLC. Simpson Thacher & Bartlett LLP served as legal counsel to Salute.
