  • Advised NCR Atleos Corporation (NYSE: NATL) in its merger with The Brink’s Company (NYSE: BCO) in a cash and stock transaction valued at approximately $6.6 billion. NCR Atleos owns and operates the world’s largest independent ATM network.
  • Advised H.I.G. Capital in the sale of its portfolio company United Flow Technologies, a national provider of process and equipment solutions for the municipal and industrial water and wastewater market, to Berkshire Partners, a private equity firm.
  • Advised The Honey Baked Ham Company in connection with its sale to Garnett Station Partners. The Honey Baked Ham Company is a premium food retailer, serving its signature spiral-sliced Honey Baked Ham® premium turkey breast, heat and serve sides, desserts, and sandwiches.
  • Advised NCR Voyix Corporation (NYSE: VYX) in the carveout sale of its digital banking business to Veritas Capital.
  • Advised Mativ Holdings (NYSE: MATV) in its sale of its Engineered Papers business to Evergreen Hill Enterprise for $620 million.
  • Advised Ghost Controls on its sale to Amarr Company, as affiliate of Assa Abloy AB (OTCMKTS: ASAZY). Ghost Controls is a leading designer and manufacturer of gate opener systems and solutions for the residential, agricultural and retail automated gate openers markets.
  • Advised ACON Investments in its acquisition of Wholesale Floors in an add-on transaction for its existing portfolio company Diverzify+ LLC.

Bio

Michelle Stewart represents public and private companies, including private equity firms and their portfolio companies, in M&A and other strategic corporate transactions, including acquisitions, divestitures, carveouts and minority investments.  In these transactions, Michelle has represented the full range of parties, including bidders, targets, private equity groups, public and private companies, and private investors. She has been involved in all phases of these transactions, including initial planning, structuring, negotiation, implementation and advice, and has significant experience with cross-border transactions. She also works with founders and family-owned businesses, guiding them when they're ready to take that next step to exit their business.

After beginning her career at King & Spalding, Michelle spent several years as Chief Counsel for Georgia-Pacific and Koch Industries where she focused on advising their businesses on M&A and other complex transactions before returning to King & Spalding. This experience gives her the unique perspective of understanding the challenges and issues facing in-house counsel on a daily basis. Clients appreciate that Michelle understands those dynamics and can help them navigate those, not just the legal issues.

Michelle frequently handles portfolio add-on transactions for leading private equity sponsors and counsels clients in a wide variety of industries, including in technology, financial services, industrial, manufacturing, food & beverage, healthcare, and logistics.

Michelle was selected for the Class of 2027 for Leadership Atlanta. She served on Law360’s Editorial Board for the state of Georgia in 2025. She also serves on the Board of Directors for Families First, an Atlanta-based family and children's services nonprofit organization, participated in the Atlanta Women Foundation’s Inspire Atlanta program in 2025, and serves on the Corporate Counsel section of the Atlanta Bar Association.
