  • Represented a European lender, as agent for a syndicate of international lenders, in connection with restructuring of a $239 million debt secured by a 32-story office tower in Manhattan, including multiple mortgage loans, conversion of mezz debt into preferred equity, and a revolving mezz loan.
  • Represented an international bank in connection with the workout of a defaulted $56.2 million hotel loan, which involved a loan sale, note-on-note acquisition financing, judicial foreclosure, and automatic conversion into a mortgage loan secured by a 134-key hotel in San Francisco, California.
  • Represented a real estate investment firm in connection with a $202.8 million construction loan for a 536-unit student housing project in Athens, Georgia, involving a development agreement with local governmental authorities, and a subsequent note-on-note transaction.
  • Represented an international bank, as agent for a syndicate of lenders, in connection with a $175 million construction loan secured by a Fort Lauderdale resort/marina, to finance Phase 1 of a $1 billion renovation.
  • Represented a real estate investment firm in connection with a $184 million mortgage loan (joined by a $46 million mezzanine loan, a $30 million preferred equity investment, and a $15 million super-preferred equity investment) for the acquisition of a 587-key hotel in Manhattan, New York.
  • Represented a financial institution in connection with a $50 million loan-on-loan financing transaction secured by a pledge of mortgage and mezzanine loans in the total amount of $65 million, which funded the construction of an industrial property in Redlands, California.
  • Represented a global investment banking firm in connection with a $125 million mortgage loan, joined by a $23.7 million mezzanine loan, secured by an apartment and retail complex in Chelsea, Manhattan, involving a ground lease from a NYC entity, 421-a affordable housing units, and a condominium regime.
  • Represented an international bank in connection with a $75.8 million mortgage loan secured by a mixed-use office and retail building located at 2101 Mission Street, San Francisco, California, and a subsequent a deed-in-lieu transaction to take title to the property following default of the loan.
  • Represented a publicly traded banking institution in connection with a $63.2 million construction loan, joined by a $20.15 million mezzanine loan, for the development of a multifamily/retail project in Elizabeth, New Jersey, which involved a redevelopment agreement with the municipality.
  • Represented a multi-strategy private markets investment firm as agent for a syndicate of lenders, in connection with a $104.5 million loan for the conversion of a historic building into a Ritz-Carlton in Savannah, Georgia, including federal and state historic tax credit financing.
  • Represented a global alternative investment firm's real estate debt strategies division in connection with a $57.7 million mortgage loan secured by a portfolio of seven industrial properties located in Arizona, Florida, and Texas.
  • Represented a publicly traded banking institution in connection with an $84.2 million construction loan for the redevelopment of 8.5 acres of land in West Palm Beach, Florida, into a mixed-use development (office, retail, and parking, and future hotel, office, and residential phases)
  • Represented a publicly traded banking institution in connection with a $187.5 million loan for a 70-unit Four Seasons-branded condo development in Washington, D.C., which involved historic preservation requirements, a public park, a pedestrian bridge, and negotiation of an SNDA with Four Seasons.
  • Represented a real estate investment firm in connection with a $145 million mortgage loan to a subsidiary of a joint venture between a privately held development company and a family office, secured by a mixed-use apartment complex in Philadelphia, Pennsylvania.
  • Represented a global real estate investment manager in connection with a deed-in-lieu transaction to take title to an office building in Golden Valley, Minnesota, following the default of original mortgage and mezzanine loans in the aggregate amount of $85 million.

James Lloyd is an Associate in the King & Spalding’s Real Estate and Funds practice, where he represents a broad range of domestic and foreign clients, including major investment banks, private equity funds, and other institutional lenders, in complex real estate finance and investment transactions across the United States. 

James advises on the origination, acquisition, disposition, and restructuring of mortgage and mezzanine loans, including construction, bridge, balance sheet, leverage, and securitized loans. He advises clients in structuring and negotiating sophisticated financing arrangements, including syndicated and single-lender transactions, loan-on-loan structures, and intercreditor and participation agreements. His work spans a variety of asset classes, including office, retail, hotel, industrial, and multifamily developments, and covers the full lifecycle of a transaction; from initial structuring and documentation to workouts, foreclosures, and deed-in-lieu transactions.
