• Represented Morgan Stanley & Co. LLC and Goldman Sachs & Co. LLC (Co-lead Managers) in connection with a $662 million initial public offering of common stock of Kindercare Learning Companies, Inc.
• Represented Compass Inc. in its acquisition of Christie’s International Real Estate’s @properties valued at approximately $450 million with a combination of cash/common stock.
• Represented Focus Impact BH3 Acquisition Company in connection with its $1.1 billion business combination transaction with XCF Global, Inc.

Allison Bell advises companies and financial institutions on capital markets transactions and corporate governance matters, with a focus on public and private securities offerings.

Allison represents domestic and international corporations, private equity firms, and financial institutions in a broad range of capital markets and corporate transactions. Her practice focuses on advising issuers and sponsors in initial and secondary public offerings, private placements, and other securities transactions, as well as counseling clients on corporate governance matters.

Allison has experience guiding clients through complex, high-value transactions across industries, working closely with management teams and underwriters to execute strategic financing initiatives. She regularly advises on disclosure obligations, regulatory considerations, and structuring issues associated with public and private capital raises.

Allison earned her J.D. from Brooklyn Law School, where she served as Executive Articles Editor of the Brooklyn Journal of Corporate, Financial and Commercial Law. She received her B.A. from Boston College.
