Aaron Ohm

• Virtus Minerals on its acquisition of copper and cobalt miner CHEMAF SA in the Democratic Republic of the Congo and associated joint venture arrangements with Lloyds Metals Group.
• Dow on the US$ 125 million sale of its 50% ownership in its DowAksa joint venture, a manufacturer of carbon fire and carbon fibre composites, to Aksa Akrilik Kimya Sanayii A.S. (Aksa), with primary operations in Turkey.
• ACWA Power on its US$ 693 million acquisition of ownership interests in power generation, water desalination and associated O&M companies in Kuwait and Bahrain from Engie SA.
• ADNOC on its acquisition of a 35% interest in the major new low-carbon hydrogen and (blue) ammonia project under development by ExxonMobil Low Carbon Solutions at its Baytown refinery and petrochemicals complex in Texas.

Prior to joining King & Spalding, Aaron advised:

• Investment fund based in Bahrain in relation to their proposed joint venture with a prominent renewable energy company based in Saudi Arabia, in connection with various renewal energy projects.
• UK based social care provider in relation to their cooperation agreement with a prominent KSA based investment company in connection with various social care building projects in the KSA.
• Spanish water management company in relation to their proposed acquisition of a desalination project in Oman.
• ONOMO hotel group on the acquisition and branding of hotels in South Africa.
• Capitec Bank on the acquisition of Mercantile Bank from Portuguese Bank Caixa from bid phase (transaction value of approximately ZAR3.6bn).
• RMS, an Oman based insurance company, as well as management sellers, in relation to the sale of their Eastern European insurance business to GrECo, a UK based insurance company active in Eastern Europe.
• IDO Investments, an Oman based VC fund, in relation to their participation in a funding round for Congenica limited, a UK-based medical tech company.
• Newberry Global Limited on the investment by e& Enterprise Cloud (a subsidiary of e&, formerly known as Etisalat group) into its Bespin Global business and establishment of a joint venture to combine each party’s existing cloud business and professional and managed services businesses to jointly service the Middle East, Turkey, Africa and Pakistan (total commitments valued over US$100m).
• Asia Infrastructure Investment Bank in relation to its project financing arrangements with the Oman Broadband Company and the Oman Investment Authority.
• Brookfield in relation to Wireless Infrastructure Group’s acquisition of a portfolio of circa 1,100 wireless infrastructure assets across the UK from Cellnex UK Limited.
• Alpha Dhabi in relation to its acquisition of a majority stake in NTS Amega Global, an international oilfield services company.
• ADNOC on all aspects of the reorganisation and consolidation of ADNOC group’s gas business and establishment of ADNOC Gas, one of the world’s largest integrated energy companies in preparation for its subsequent listing on the ADX [IJ Investor Awards – Oil & Gas Acquisition of the Year 2023].

Aaron is a senior associate in the Corporate, Finance and Investments Group based in our Abu Dhabi office.  Aaron has broad M&A experience having advised corporates, government entities and financial institutions on a wide range of complex domestic and cross border corporate transactions across the globe, including in the Middle East, Europe and Africa, with a particular focus on large transactions in the infrastructure and energy sectors.
