Finance

Our Finance practice brings together more than 100 lawyers in offices across the United States, Europe, Middle East and Asia to represent lenders, arrangers, investors, funds, borrowers, issuers, underwriters and sponsors across the full range of complex financings.  Over the past three years, we closed approximately 600 finance transactions for our clients, amounting to over $165 billion in aggregate financing.  Our solutions and innovation span:  

  • leveraged finance (secured and unsecured);
  • alternative capital and credit funds;
  • specialty finance and securitization;
  • public finance, including public-private financing; and
  • project finance. 

In leveraged finance, our team provides services in connection with private finance and other commercial transactions, including credit facilities on a syndicated and single-lender basis; merchant banking transactions; asset-based financings; mezzanine investments; acquisition financings; leveraged leases; real estate financings; private placements of debt securities; and credit enhanced transactions. In all transactions, the team combines both borrower and lender expertise to provide ambidextrous representation.

In specialty finance and securitization, our team helps structure asset-based loans, structured leases, specialty credit facilities and securitizations. We regularly advise on the use of alternative “cross-over” products and have developed first-ever products in this space. In addition, we have an established record of whole-business securitizations and structured financings of distressed and illiquid assets, particularly in the telecommunications, energy, life sciences and healthcare, transportation and franchising sectors. 

Our team provides alternative capital and credit fund representation to debt funds engaging in traditional direct lending (first lien secured loans, unitranche loans), junior capital transactions (second lien, mezzanine and holdco pik loans/notes, private high yield placements and preferred equity investments), credit opportunity or special situation financings (including balance sheet refinancings or providing capital solutions to stressed credits) and restructurings of capital structures. 

Active in public finance for more than 70 years, our team advises on the full spectrum of tax-exempt and taxable bond financings for government and nonprofit clients. In this area, we have consistently negotiated economic incentives through public-private arrangements among state and local officials and private companies.
