William Reily is an associate in the Corporate, Finance and Investments practice, with a focus on representing banks, ad hoc groups, and other secured lenders in all aspects of their financing transactions including private credit and special situation lending, complex restructurings, recapitalizations, and bankruptcy related matters. Will’s practice spans a wide variety of industries, including aviation, energy, renewables, infrastructure, and transportation.

  • Represented Macquarie Bank Limited, as issuer of $46 million in letters of credit, in the chapter 11 cases of Heritage Power, LLC, a portfolio of power generation assets operating in PJM. 
  • Represented an ad hoc group of term loan and secured note holders with over $1 billion of aggregate claims in connection with the chapter 11 cases of Talen Energy. 
  • Represented Wells Fargo Bank, NA, a senior secured lender holding $87 million in claims in connection with the chapter 11 cases of Premier Kings, Inc., a Burger King franchisee with over 200 locations. 
  • Represented Blue Torch Capital, a senior secured lender holding $76 million in claims in connection with the chapter 11 cases of Near Intelligence, Inc., a publicly listed full-stack data intelligence software platform.
  • Represented Blue Torch Capital, a senior secured lender holding $75 million in claims in connection with the chapter 11 cases of Troika Media, Inc., a global consultancy and consumer engagement group publicly traded company on the NASDAQ exchange.
  • Represented Blackstone in providing a $450 million term loan to a supplier of packaging, shipping, industrial supplies and related products for the e-commerce and distribution markets.
  • Represented Camston Wrather, an e-scrap precious metals recycler, in securing a $60 million project financing.
  • Represented secured lender in restructuring a $247 million term loan to owner of national youth behavioral services company.  
  • Represented NexPoint Capital Inc. in recapitalization of medical device manufacturer and equitization of $150 million term loan. 
  • Represented JPMorgan Chase Bank, N.A. in enforcing rights under secured energy hedge agreements against multiple windfarm counterparties in Texas related to nonpayment disputes following the winter storm and ERCOT energy price hikes.
  • Represented Texas windfarm projects, and private equity sponsors, in connection with restructurings of hedging exposure and tax equity obligations and obtaining rescue financings following the winter storm and ERCOT energy price hikes.
  • Represented European noteholders of The Hertz Corporation European affiliates in connection with the U.S. chapter 11 proceeding (Bankr. D. Del.).
  • Represented Nordic Aviation Capital, the largest lessor of regional commercial aircraft in the world, in connection with its Chapter 15 proceeding (Bankr. SDNY) and restructuring of secured and unsecured indebtedness during the COVID-19 pandemic.
  • Represented aircraft lessors and finance counterparties in connection with the chapter 11 cases of Avianca Holdings, S.A. (Bankr. SDNY), LATAM Airlines Group S.A. (Bankr. SDNY), and Grupo Aeroméxico, S.A.B. de C.V. (Bankr. SDNY).
  • Represented Samarco Mineração S.A., a Brazilian mining company, in negotiations to restructure obligations under export prepayment agreements/unsecured bonds in the amount of $4 billion.
  • Represented SMBC EU/Brussels as agent for secured facility in connection with a credit bid for collateral (helicopters) during the chapter 11 case of Waypoint Leasing Holdings (Bankr. SDNY).
  • Represented United Arab Bank agent of secured facility in the chapter 11 cases of Aegean Marine Corp. (Bankr. SDNY).
