Jennifer DePalma counsels private and public companies, as well as venture capital and private equity investors, on matters of mergers and acquisitions, financings, including initial public offerings, and corporate governance. Jennifer focuses on the representation of companies developing technologies and intellectual property, particularly in the life sciences, biotech, healthcare and financial technology sectors and on the blockchain. Jennifer has significant cross border experience, and was formerly an executive at a financial technology company.

Jennifer counsels private and public companies, as well as venture capital and private equity investors, on matters of securities, general corporate and business law, mergers and acquisitions, joint ventures, venture capital and private equity financings, public equity offerings and intellectual property transactions. Her experience includes serving as primary outside counsel to private and public companies. Jennifer has significant experience in company- and investor-side representations in complex capital markets transactions, including initial public offerings and PIPEs, and venture capital and private equity financing transactions in the United States and Asia. Jennifer also represents publicly traded and privately held companies in both domestic and cross border merger and acquisition transactions, leveraged buyout transactions, significant recapitalizations, corporate partnering arrangements, the formation of joint ventures and other strategic alliances. 

Jennifer has significant cross border experience, with a focus on the representation of companies in Asia, including the People’s Republic of China, as well as entities and funds investing in such companies.  This experience includes leading the lawyer team in the acquisition transaction (merger of Microtune Inc. (NASDAQ: TUNE) and Auvitek Corporation) that was the first to use the then new merger statute in the Cayman Islands, a jurisdiction of incorporation often selected by companies with overseas operations seeking investment from persons in the United States. Jennifer has spent significant time in Hong Kong and Shanghai negotiating investments into Chinese companies by U.S. private equity firms.

As a complement to private practice, Jennifer spent time as general counsel and head of operations for an emerging company in the financial technology industry.
