Alla Naglis has extensive experience in cross-border transactions, corporate law, and mergers and acquisitions, with a particular focus on telecommunications, media, technology and entertainment law. A partner in our Mergers & Acquisitions, Private Equity, Technology & Emerging Companies, Data, Privacy & Security and Intellectual Property Counseling practices, Alla represents Russian, U.S. and European clients in a broad array of matters requiring deep industry knowledge.

Alla advises major Russian and international media and entertainment companies on virtually all legal aspects of the media and entertainment industry (above all, film and television), including all matters related to cross-border production and financing, distribution, broadcasting and related intellectual property issues involving Russia. She also advises these companies on e-commerce and IT, technology and know-how protection, data privacy and security and licensing and domain name protection.

Alla also counsels clients, both Russian and international, on complex corporate, contractual and regulatory matters, including international transactions and corporate deals. She has represented clients in landmark projects, international arbitrations and litigation, and also has experience with antitrust matters.

Frequently ranked as a leading Russian technology, media and telecommunications lawyer, Alla speaks Russian, English, Spanish and French. Represented O’Key Group in connection with a RUR 2 billion senior credit facility provided by VTB Capital.

Advised ITG, one of the leading Russian groups providing software and hardware solutions for business, in a series of matters involving software development and licensing and in financing matters ranging in average from $20 million to $50 million.

Advised a Russian supercomputer, software, device and integrated circuit manufacturer on contractual issues in connection with software and device development and licensing and in respect of a compute cluster solution, equipment and related services supply.

Advised New Regency in a complex multi-jurisdictional film coproduction, which involved, among other things, clearance of filming in the Red Square in Moscow.

Advised a number of major international clients (including the world's largest media groups, pharma companies, biotechnology and agrochemical producers) on issues related to privacy and personal data protection, online activities and cross-border data transfers.

Advised a major Russian telecom operator in a contemplated $500 million acquisition of a group of companies engaged in cable TV and IPTV business.

Represented GAZ Group, the largest Russian car manufacturer, in its first-ever global expansion steps, including a long-term, multimillion-dollar deal to buy the production assets and a technology license to manufacture two DaimlerChrysler car models under GAZ brands in Russia; a multimillion-dollar technology licensing agreement with Renault Trucks S.A.S; and the acquisition of LDV Holdings Limited, a transaction that was awarded Best M&A Deal—2006 in the Russian automobile sector by major industry players at a prestigious industry conference.

Advised Ford Motor Company on Russian corporate, contractual and regulatory aspects in connection with the US$2.3 billion sale of JLR business to Tata Motors and the US$1.8 billion sale of Volvo business to Geely.

Advised the seller on the sale of a majority stake in one of the leaders of the Russian insurance market to Zurich Financial Services Group.
