Hywel Jones focuses on corporate and commercial matters, particularly in the energy, natural resources and automotive sectors. As a partner in our Corporate practice with a focus on energy, Hywel represents clients in a variety of agreements, financings and transactions.

Hywel advises companies in matters ranging from private company acquisitions and joint venture transactions to public company offerings, including primary and secondary securities offerings in the UK.

In the oil and gas sector, Hywel drafts and negotiates upstream commercial agreements, including joint operating agreements and production-sharing contracts, as well as long-term oil and gas supply agreements, and transportation agreements. For automotive sector clients, he drafts and negotiates product development agreements, tooling agreements and supply agreements.

Hywel is also experienced in international project finance. He has counseled clients in the financing of power projects, particularly in developing African and Asian countries, as well as pipeline projects, airport and port development. He is experienced in representing developers, borrowers and lenders in structuring and executing project finance transactions.

Hywel was recognized by Legal 500 UK in 2015 for Projects, Energy and Natural Resources—Oil & Gas, as well as by Chambers UK in 2010 for Projects & Energy—Energy and Natural Resources.

Acted for the Volta River Authority in connection with the development by CMS Energy and VRA of a 330 MW combined-cycle gas-fired power station at Takoradi, Ghana. Hywel advised the VRA in connection with the power purchase agreement for the first unit and again, more recently, in connection with the addition of a second unit, when Hywel also acted for the developer, CMS. Hywel also advised the Government of Ghana in relation to the Government Consent and Support Agreement for the Project.

Acted for the developer and off taker in connection with gas supply arrangements through the West Africa Gas Pipeline to the Takoradi power plants in Ghana.

Represented Ford Motor Company on the separation of the Jaguar and Land Rover businesses from Ford Motor Company and subsequent £1 billion sale to Tata Motors.

Represented Ford Motor Company on the separation of the Volvo businesses from Ford Motor Company and subsequent $1.8 billion sale to Geely.
