May 1, 2018 – The Supreme Court of the State of New York issued two injunctions on behalf of King & Spalding’s client Darwin Deason in the matter of Deason v. Fujifilm, Xerox et.al. pending a final determination of the claims asserted in Deason’s complaint to prevent Fuji and Xerox from taking any further action to consummate the change of control transaction between Xerox and Fuji that was announced on January 31, 2018. In addition, the court granted injunctive relief to prevent Xerox from enforcing an advance notice bylaw provision with respect to nominating directors, thus allowing Deason to nominate an independent slate of directors for the 2018 annual meeting.
