The Coronavirus Outbreak, Global Supply Chain Impact, and Force Majeure Declarations: Considerations for Pharmaceutical and Medical Device Manufacturers

Roughly a month after the World Health Organization (WHO) declared the novel coronavirus outbreak to be a “public health emergency of international concern,” the disease, now called COVID-19, has spread globally and begun to disrupt the world economy and more specifically the medical supply chain. China is the world’s largest producer of active pharmaceutical ingredients (APIs) and is a critical source of dietary supplements, biotechnology products, and medical devices, as well as a major location for global clinical trials. As the country continues to experience significant supply and demand disruptions, Chinese parties may invoke force majeure in an attempt to excuse their contractual obligations with pharmaceutical and medical device manufacturers.

In this one-hour roundtable webinar, King & Spalding’s International Arbitration and FDA & Life Sciences teams will provide recommendations to pharmaceutical and medical device manufacturers navigating the coronavirus crisis and potential commercial issues. Panelists will provide an overview of force majeure declarations that Chinese companies have issued in other industries, including the liquefied natural gas (LNG) and mining sectors. Panelists will also discuss the legal and business consequences of accepting or rejecting a force majeure declaration, and measures companies can take to avoid a force majeure declaration altogether.
