King & Spalding’s Capital Transactions & Real Estate Practice Group, together with other attorneys in the firm whose practices are heavily committed to the firm’s real estate clients, provides experienced and sophisticated advice with respect to the complete range of commercial real estate transactions. Approximately 70 lawyers in the firm’s Atlanta, New York, San Francisco, Charlotte, Houston, Frankfurt, Paris, London, Abu Dhabi and Dubai offices are actively engaged in this practice.

Our lawyers represent some of the world’s largest financial institutions, institutional investors, pension funds, investment advisors, asset managers, real estate investment trusts and developers. King & Spalding’s Real Estate lawyers work in concert with the firm’s Corporate, Private Equity, Tax, Environmental, Financial Restructuring and ERISA practice groups, advising clients in a wide variety of complex transactions in all the major markets in the country.

King & Spalding has one of the leading real estate capital markets practices in the United States and has earned a national reputation for its creative structuring of mergers and acquisitions and complex equity and debt financing transactions. Our practice includes formation of public and private real estate investment trusts and “roll-ups” and other tax-efficient ventures involving contributions to real estate investment trusts or their related umbrella partnerships, and all variety of debt and equity securities transactions, both initial public offerings and secondary placements, for a diverse group of prominent issuers and underwriters.

Our attorneys have extensive experience advising the managers and sponsors of private real estate investment funds. King & Spalding represents numerous real estate investment advisors in connection with real estate transactions, fund formation and management issues, as well as a broad range of domestic and international tax and regulatory matters.

King & Spalding’s representation of developers and owner/operators includes significant involvement in the planning, acquisition, financing, construction, leasing, and management of office buildings, shopping centers, hotels, apartments, multiple use developments, industrial and business parks. Our lawyers have been involved in transactions throughout the United States on behalf of U.S. and foreign based developers.

Lender representation includes U.S. and foreign banks and investment banks, while borrower-side representation includes institutional advisors, pension funds, credit companies, insurance companies and individuals. This finance practice involves various forms of mortgage and mezzanine financings, joint ventures, debt instruments convertible to equity ownership, and similar arrangements, including representing non-U.S. investors in U.S. real estate.

Because our lawyers have been involved in every cycle of the commercial real estate market since the early 1970’s, they have significant experience in the restructuring and “workout” of debt and equity transactions and are uniquely qualified to advise with respect to the restructuring of troubled assets and companies.
