King & Spalding’s Distressed Assets Task Force (Assets Task Force) is a subgroup of the firm’s Financial Restructuring, Corporate, Real Estate, Tax and Financial Transactions Groups.  Combining practitioners from each of these nationally preeminent teams, practicing in the New York, Atlanta, Washington DC, Charlotte, Dubai and Frankfurt offices, the Distressed Assets Practice represents debtors and financial and strategic buyers in purchases and sales of distressed assets and debt.  We help our clients analyze potential transactions and structures to determine an approach that protects our clients while maximizing the likelihood of a successful deal. 

Representative transaction types include:

  • Restructuring and sale of real estate assets and representation of buyers  of distressed real estate assets, mortgage loans, subordinated loans and equity interests;

  • Purchases and sales of assets in bankruptcy cases including purchases of distressed debt to convert into equity and deals under Section 363 of the Bankruptcy Code or under a confirmed Chapter 11 plan; and

  • Purchases of companies in German insolvency proceedings.
