ATLANTA, October 28, 2009—As part of King & Spalding’s monthly e-Learn Series, an hour-long web seminar titled “What Your Board Needs to Know Now: Practical Advice for Public Company Directors” will be offered to King & Spalding clients on Wednesday, November 18, 2009, from 12:30-1:30 p.m. EST.
During this program, King & Spalding partners E. William Bates II, Jeffrey M. Stein and Keith M. Townsend will provide an overview of recent events and trends that have challenged boards, including regulatory changes implemented in the wake of the global financial crisis. They will also address anticipated short-term regulatory changes.
Specific topics to be discussed include:
- Expected regulatory changes in executive compensation, succession planning and board leadership issues.
- How boards can be more effective in plotting corporate strategy, overseeing risk management and protecting the company against fraud.
- How boards can take a more proactive role in communicating with investors and other stakeholders.
- Initiatives to assess and improve board performance.

Speakers
E. William Bates II is a senior partner in King & Spalding’s corporate practice in New York. He has significant experience representing buyers and sellers in mergers and stock and cash acquisition transactions. He also advises clients on corporate governance matters, including fiduciary duties of boards of directors.
Jeffrey M. Stein is a partner in King & Spalding’s corporate practice in Atlanta. He advises public companies on SEC reporting and compliance matters, finance transactions and corporate governance.
