  • Assisting the world's largest management and technology consulting firm in connection with information technology outsourcing transactions, including representation in the largest software applications maintenance, support and development outsourcing transaction undertaken to date.

  • Assisting a major US corporation in connection with various outsourcing matters, including a large network outsourcing transaction.

  • Assisting a large telecommunications company in connection with the formation of its national PCS joint venture, STV, including formation of a joint venture to own and operate the nation's first operational PCS network in Washington, D.C., and the development and negotiation of affiliation arrangements between STV and other PCS license holders affiliated with the STV national PCS network.

  • Negotiation of systems integration/software development agreements on behalf of a large systems integration client, including negotiation of a joint venture with a large German company to perform systems integration work in Europe, and negotiation of the joint venture's software development agreement and license with a German cellular telecommunications company.

  • Acquisitions of stock or assets of numerous software companies, including companies based in Europe.

  • Representation of a major financing organization in connection with various software licensing transactions.
