Werner Meier is a finance and restructuring partner and King & Spalding’s Head of Restructuring Europe, based in the firm’s London and Frankfurt offices. He has 25 years of experience in German and European debt and corporate restructurings as well as syndicated loans, high yield bonds, securitizations and other structured finance transactions. Chambers Global, Chambers Europe, European Legal 500, Legal 500 Deutschland, IFLR1000, JUVE and Expert Guides – The World’s Leading Lawyers Chosen by Their Peers – Banking, Finance and Transactional Law 2016 all distinguish him as a leading finance and restructuring lawyer.

Mr. Meier holds a German Ph.D. in law (Dr. iur.) and obtained an LL.M. degree from Columbia University Law School and Columbia University Business School in 1991 and an M.B.A. (Diplom-Kaufmann) from University of Bielefeld Business School in 1990. He completed his German legal education and practical training at University of Bielefeld Law School in 1989. He received a fellowship from Friedrich-Naumann-Stiftung für die Freiheit, Potsdam, Germany. Mr. Meier is a member of the Bars in Frankfurt am Main, Germany, and in New York. His native language is German and he is fluent in English, as well as proficient in French and Spanish.

  • Advised Henkel as borrower in connection with a $3.6 billion financing of the acquisition of The Sun Products Corporation.

  • Advised The Hellenic Republic in its €206 billion sovereign debt restructuring, the largest restructuring transaction in history.

  • Advised Perry Capital, Wingspan Investment Management, York Capital, Farmstead Capital, Och-Ziff Capital and Caspian Capital in connection with the €4 billion debt and corporate restructuring of IVG Group.

  • Advised Goldman Sachs International in connection with the debt and corporate restructuring of A.T.U. Group.

  • Advised Texas Pacific Group (TPG), SilverPoint, Strategic Value Partners, Triton and Perry Capital in connection with the CHF2.5 billion debt and corporate restructuring of Swiss industrial group OC Oerlikon.

  • Counsel to Rusal in connection with the restructuring of various secured credit facilities in the aggregate amount of $16.8 billion.

  • Advised Morgan Stanley, BlueBay, Deka Bank, Dresdner Bank, GMAC, IKB, BNP Paribas, Merrill Lynch, NIBC and RBS (the steering committee of senior lenders) in connection with the debt and corporate restructuring of Kiekert Group; also advised Morgan Stanley, BlueBay, NIBC and SilverPoint as shareholders/lenders in connection with a second round restructuring and a subsequent sale of the group.

  • Advised the German Savings Bank Association with respect to back-to-back guarantees issued by the Federal Republic of Germany for a €50 billion bailout package for Hypo Real Estate Group.

  • Advised Morgan Stanley in connection with the debt and corporate restructuring of Rinol Group.

  • Advised Morgan Stanley in connection with the debt and corporate restructuring of Nordex Group.

  • Advised Strategic Value Partners, Morgan Stanley, D.E. Shaw, Davidson Kempner, BBVA, Barclays, Credit Suisse, CarVal Investors, Dexia, GE Capital, Taconic Capital and Goldman Sachs in respect of debt owed by insolvent Lehman Brothers Bankhaus AG.

  • Advised Goldman Sachs International as lender in connection with a €3.6 billion financing secured by properties leased to department store chain KarstadtQuelle (later renamed Arcandor), as well as various restructurings thereof.

  • Advised a German DAX corporation as borrower under  syndicated credit facilities of €800 million, €700 million and €800 million, respectively, the refinancing of various loan agreements in the aggregate principal amount of $2 billion, a $1.3 billion cross-currency swap, and a €6 billion debt issuance program.

  • Advised Rosneft in connection with its $55 billion acquisition of TNK-BP, the largest takeover in Russian history.

  • Advised Landesbank Hessen-Thüringen (Helaba) on finance matters in connection with the acquisition of WestLB's core business unit Verbundbank, with total assets of about €40 billion.

  • Advised a French infrastructure fund in connection with an auction bid for 1,400 telecom towers in Germany.

  • Advised Goodyear as borrower/seller under a pan-European lending transaction, a pan-European securitization transaction, a pan-European factoring transaction, various German factoring and securitization transactions, and the establishment of a European cash pool.

  • Advised Henkel as borrower under a €2.6 billion financing for the acquisition of the adhesives and electronic materials businesses of Akzo Nobel.

  • Advised First Reserve in connection with the financing of its £906.2 million acquisition of Abbot Group.

  • Advised Citigroup as arranger, lender and agent in connection with the £3.2 billion financing of the acquisition of EMI Group by Terra Firma.

  • Advised Daewoo Group in connection with its debt and corporate restructuring, including a $4.5 billion cash buy-out offer for its indebtedness held by foreign creditors.

  • Advised ish as borrower in connection with the restructuring of its €3 billion senior secured credit facility and vendor financing arrangements.

  • Advised HypoVereinsbank in connection with GELDILUX, the first synthetic securitization transaction in history.
