Richard Nelson is a partner in the Singapore office of King & Spalding and has previously practiced in London, Hong Kong, and Tokyo. He has many years’ on the ground experience in Asia with extensive experience advising on energy-related transactions and projects, particularly in the upstream oil and gas, LNG and power sectors. Richard has experience advising clients on LNG import projects having advised on 16 projects in the past 18 months.

Richard regularly advises international oil and gas companies, host governments and project developers and sponsors in jurisdictions across South East Asia and the wider Asia-Pacific region. Richard relocated to Singapore (from London) in 2008 and was responsible for establishing the SE Asia energy and projects practice of an international UK firm.

He is currently ranked as a Band 1 energy lawyer in Singapore and Asia Pacific by the leading law directories, including Chambers and Legal 500.

Representative Experience

LNG import projects (including FSRU experience)

  • Advising Summit Corporation Limited in connection with the procurement of an FSRU for its LNG import project in Bangladesh.

  • Advising a confidential client in connection with an LNG import project supporting power arrangements in Sri Lanka.

  • Advising a confidential Singapore energy company on all aspects of its LNG import project in the Philippines.

  • Advising a confidential client on its long-term LNG supply to support an LNG-to-power project in Japan.

  • Advising BW Gas and Itochu in connection with an LNG import project in Bahrain utilising a floating storage unit (FSU) and onshore regasification unit (ORU).

  • Advising a confidential consortium on the negotiation of long-term LNG fuel supply and long-term LNG FSRU charter party and regasification service arrangements in connection with the Jawa-1 LNG-to-power project.

  • Advising a confidential client on all aspects of its LNG import project in Bangladesh including advice in connection with the terminal usage arrangements, government concession agreement and FSRU time charter party agreement.

  • Advising a confidential client in connection with its bid for an LNG import project in Sri Lanka, including advising on LNG sale and purchase arrangements, FSU chartering arrangements and downstream gas arrangements.

  • Advising H-Energy in connection with the procurement of an FSRU for its LNG import project on the west coast of India, including advising on the entire procurement process including the interface between the FSRU TCP and the onshore/downstream gas supply and transportation arrangements, together with the drafting and negotiation of the FSRU TCP term sheet with a potential FSRU supplier.

  • Represented BP on the implementation of a standard long-term FOB/DES LNG offtake contract and advice on a number of short term and spot LNG sales contracts with middle east and far east counterparties.

  • Represented LNG Easy on various LNG supply, break bulk and import projects across South East Asia.

  • Represented BP in connection with the development of a split on-shore and off-shore exploration and production contract in Libya, together with potential LNG development, local joint venture arrangements, representing BP’s single largest exploration commitment to date.

  • Represented BP on its long-term, multi-destination LNG offtake arrangements from Trains 1 and 2 of the Brass LNG Project in Nigeria.

  • Represented BP on its upstream gas sales and production sharing arrangements and related long-term LNG sale and purchase arrangements from Train 1 of the Damietta (SEGAS) liquefaction facility in Egypt.

  • Represented Energy Market Authority of Singapore and Singapore LNG Corporation in connection with the development of a multi-user LNG import terminal project in the Republic of Singapore and on the second aggregator terminal use (TUA) arrangements at the Singapore LNG receiving terminal and related bunkering and cool-down services, bunkering and truck loading services arrangements.

  • Represented H-Energy in connection with the terminal use arrangements of several new LNG import facilities in India, together with related upstream LNG supply and downstream gas sales arrangements.

  • Represented GDF Suez in connection with their prospective investment in the Singapore LNG receiving terminal project, including joint venture and management services arrangements.

  • Represented Tenaga Nasional Berhad in connection with LNG purchase, regasification and gas supply arrangements in Malaysia and on the liberalisation of the natural gas market, including introduction of third party access requirements.

  • Represented BP on capacity sharing arrangements at the Isle of Grain LNG import and regasification terminal in the UK, including LNG delivery and gas sales arrangements into the UK market and the design and implementation of secondary capacity access to third party shippers.

  • Represented BG Plc and Petronas on regulatory (UIOLI) aspects to their joint capacity rights at the Dragon LNG terminal in Wales, UK.

  • Represented  the export credit agencies (including SACE, KEXIM and KEIC) on the multi-billion dollar project financing of the proposed Pars LNG Project in Iran including bankability analysis of long-term LNG offtake contracts.

  • Represented BW Gas on its charter party arrangements with a confidential LNG project company (Central America) on a long-term FSRU charter to support a 700 MW LNG-to-Power development and small- scale, break bulk and reloading services.

  • Represented BW Maritime on a number of major Floating Storage and Regasification Unit (FSRU) project roles in the Central and South America and Asia Pacific.

  • Represented BW Gas  in  relation  to  its successful  bid  to  provide  EGAS  with  a  170,000  cbm  new  build FSRU under a long-term charter party arrangement.

  • Represented a confidential consortium in connection with the FSRU procurement/long-term service agreement of an FSRU vessel to be deployed for the Jawa-1 IPP project in Indonesia including designing and running an FSRU tender process for that project.

  • Represented Golar LNG on the tender of several major Floating LNG Storage and Regasification Unit (FSRU) and interconnecting onshore and offshore pipeline projects in Indonesia (Central Java, Medan and West Java), and Pakistan.

  • Represented Golar LNG on its successful bid to provide Kuwait National Petroleum Company (KNPC) floating storage and regasification (FSRU) services to support KNPC’s LNG import operations at Mina Al Ahmadi (Kuwait) including drafting and negotiating the regasification services agreement in respect of the 5 year US$213 million charter for the Golar Igloo (170,000 cbm new build FSRU).

  • Represented a confidential consortium in relation to its bid to provide a new build 180,000 cbm floating LNG storage unit (FSU) to be utilized as a floating storage vessel and LNG carrier to support a major confidential LNG import project in the Middle East.
LNG sale and purchase agreements
  • Advising a Japanese Trading House in connection with supplying LNG into Pakistan.

  • Advising Diamond Gas International (Mitsubishi Corporation) on a number of confidential spot LNG sale and purchase transactions in Asia.

  • Advising INPEX Corporation in connection with long-term LNG offtake arrangements from the Prelude FLNG project in Australia, including drafting and negotiation of HOAs and SPAs with several Japanese counterparties.

  • Advising Anadarko on all aspects of its LNG sales and marketing arrangements in connection with the Mozambique LNG project.

  • Advising a confidential client in relation to its LNG sale and purchase arrangements in connection with Bontang LNG project in Indonesia.

  • Advising a confidential Middle East utility in relation to a number of spot LNG sale and purchase agreements and advice in relation to its LNG sale and purchase arrangements.

  • Advising a major US gas producer in relation to its LNG sale and purchase arrangements in Singapore (including establishment of its LNG trading platform).

  • Advising Inpex Corporation in connection with long-term LNG offtake arrangements from the Prelude FLNG project in Australia, including drafting and negotiation of HOAs and SPAs with several Japanese counterparties.

  • Advising Pavilion Gas in connection with its long-term (10 year) LNG sale and purchase agreement with Gazprom Marketing and Trading.

  • Advising Mitsubishi Corporation and Diamond Gas International on the long term LNG marketing and offtake arrangements from the LNG Canada project including project structuring advice (upstream, midstream, downstream components), preparation of LNG term sheets and HOAs and vessel loading arrangements.

  • Advising a confidential company on its long term LNG sale and purchase arrangements in connection with Prelude LNG.

  • Advising a confidential client in relation to its LNG marketing arrangements in connection with Pacific North West LNG.

  • Advising a confidential client in relation to its LNG marketing arrangements in connection with Djibouti LNG.
Upstream Oil & Gas
  • Represented a confidential international oil & gas company in relation to the potential acquisition of Chevron’s upstream and midstream assets in Myanmar.

  • Represented a confidential international oil & gas company in relation to the potential acquisition of GDF Suez (ENGIE’s) upstream assets in Indonesia.

  • Represented a confidential international oil & gas company in relation to the potential acquisition of an interest in the Andaman III PSC, Indonesia

  • Represented Ramba Energy in relation to the farm-out of an interest in the Lemang PSC, Indonesia to Mandala Energy KKR).

  • Represented a confidential international oil & gas company in relation to the potential acquisition of an interest in the Bone PSC, Indonesia.

  • Represented Chevron Corporation on certain upstream issues relating to the East Kalimantan PSC in Indonesia, including decommissioning and abandonment works.

  • Represented Santos in relation to the acquisition of a 50% operating interest in in the Northwest Natuna Production Sharing Contract (PSC) from AWE Limited.

  • Represented Woodside Energy Ltd. in relation to the acquisition by way of farm-in in several upstream interests (Blocks A6 and AD7) in Myanmar and related advice on country entry, sanctions, local branch registration and contracting/procurement aspects.

  • Represented Woodside Energy Ltd. in relation to ongoing PSC and JOA negotiations in relation to the Myanmar offshore tender round, including the award of several new PSC interests to a Woodside/BG consortium.

  • Represented a confidential international oil & gas company in relation to the potential acquisition of an ASX- listed company and internal group re-organisation.

  • Represented a confidential international oil & gas company in relation to the potential acquisition of Murphy Oil’s upstream assets in Malaysia.

  • Represented Northern Gulf Petroleum Holdings in connection with the acquisition by way of farm-in of an upstream interest in Sumatra, Indonesia.

  • Represented a confidential international oil & gas company in relation to the potential acquisition of Hess Corporation’s interest in the Natuna Sea Block A PSC.

  • Represented Premier Oil in relation to the divestment of Premier Oil Vietnam South B.V. (holding an interest in Block 03-07 offshore Vietnam) and ongoing divestment work in Indonesia.

  • Represented Mitsui Oil Exploration Company Limited in connection with several new upstream ventures in Singapore and Myanmar.

  • Represented a confidential bidder in connection with its bid to acquire upstream assets from Newfield International in Malaysia.

  • Represented several international oil & gas companies in connection with the onshore and offshore oil & gas tender rounds in Myanmar, including joint study and bidding arrangements.

  • Represented Northern Gulf Petroleum Holdings in connection with several farm in and restructuring arrangements in respect of their interest in concessions G1, G3 and G6 offshore Thailand (other participants including Tap Oil and Pearl).

  • Represented BP in connection with its divestment to Pertamina of its 46% operated interest in the offshore North West Java PSC in Indonesia by way of sale of BP West Java Ltd.

  • Represented JX Nippon and PTTEP in relation to their bid to acquire several upstream oil & gas interests from ConocoPhillips in Vietnam.

  • Represented a confidential bidder in relation to the potential acquisition of an interest in the Chevron IDD (deepwater) project offshore Indonesia.

  • Represented  China Development Bank on the financing to Daewoo Corporation of the Shwe development, offshore Myanmar, including detailed review and analysis of the relevant PSC, JOA and utilisation arrangements.

  • Represented the lead arrangers on the financing of several upstream interests in Malaysia for BC Petroleum (pursuant to a new Risk Service Contract).

  • Represented BP in relation to the structuring of its divestment of upstream, midstream and downstream assets in Vietnam.

  • Represented Premier Oil in connection with PSC-related advice on one of its upstream investments in Vietnam.

  • Represented an international oil & gas major in relation to the funding and development of a number of coal bed methane (CBM) projects in Indonesia.

  • Represented BP in connection with an equity investment in several Philippine upstream assets.

  • Represented a confidential party in connection with a bid to acquire an interest in upstream and midstream assets in Papua New Guinea.

  • Represented Singapore Petroleum Company in connection with its bid to acquire oil and gas assets in Europe and Africa and the development of CBM interests in Indonesia.
Power Projects
  • Represented a confidential consortium in connection with the Jawa-1 IPP LNG-to-Power project, including the negotiation of long-term LNG fuel supply and long-term LNG FSRU charter party and regasification service arrangements; EPC and O&M arrangements for the power plant and interconnecting pipelines and the PPA with PLN.

  • Represented Tenaga Nasional Berhad and POSCO Energy on their bid to develop and finance the South Sumatra (Sumsel) 9 & 10 IPP power projects in Indonesia.

  • Represented Tenaga Nasional Berhad (as part of a Malaysian/Indonesian consortium) on the development and financing of (i) a mine mouth coal project in Sumatra (ii) a 1200MW coal-fired power plant, also in Sumatra and (iii) a subsea power interconnection line between Sumatra and Peninsula Malaysia. Our role includes advice on feasibility and structuring aspects, shareholding and JV arrangements, development of project documentation and financing arrangements.

  • Represented several Japanese corporations in connection with the development of mining and manufacturing projects in Sarawak, Malaysia, including power purchase agreements with the Sarawak Energy Board.

  • Represented BG Group in connection with the refinancing and subsequent divestment of the Santa Rita power project in the Philippines.

  • Represented BG Group in relation to the divestment of the Santa Rita and San Lorenzo power assets in the Philippines.

  • Represented Tata Power in connection with its bid to acquire Tuas Power, Senoko Power and PowerSeraya in Singapore from Temasek Holdings, including acquisition financing arrangements.

  • Represented the Export-Import Bank of China in connection with the development and financing of a 338MW hydroelectric power project in Cambodia.
Other Energy Projects
  • Represented CAPCO on the gas sales and transportation arrangements for supply of gas from China (CNPC/PetroChina) into Hong Kong.

  • Represented Brunei Economic Development Board in connection with the development of (i) the Second Petrochemical Project (natural gas feedstock) developed by a major Japanese investor and (ii) the multibillion US$ PMB offshore redevelopment project, comprising a greenfield petrochemical aromatics plant and related power and desalination infrastructure, developed by a major PRC corporation.

  • Represented RWE GmbH on the establishment of a new commodity trading business in Singapore and regional trading joint venture.

  • Represented BNP Paribas in relation to a borrowing base facility for Coastal Energy to fund the development of onshore and offshore interests in Thailand.

  • Represented Mitsubishi Corporation in connection with crude oil trade finance and prepayment arrangements with Medco Energi (Indonesia).

  • Represented Castle Peak Power Supply Company Limited on gas supply and transportation arrangements in China and Hong Kong, including the negotiation of a long-term pipeline transportation agreement and operating agreement; advice on gas allocation and attribution issues.

  • Represented Peabody in relation to spot coal supply arrangements (under Singapore law) into China.

  • Represented Toyota Tsusho Corporation on its investment in a major petrochemical and fertiliser business in southern India and related financing arrangements.

  • Represented the sponsors on the development and financing of a greenfield petrochemicals (n-paraffin) plant in Singapore.

  • Represented Oiltanking GmbH in connection with the development of a new oil storage facility in Karimun, Indonesia.

Richard has contributed to various energy journals and news publications in Singapore and SE Asia, notably PFI, LNG Journal and Lexology. He is also a regular speaker at a number of leading energy conferences in Singapore including Gas Asia Summit, FLNG Summit, IPFA, Myanmar Upstream Congress.
