Richard Nelson is a partner in the Singapore office of King & Spalding and has previously practiced in London, Hong Kong, and Tokyo. He has over 10 years’ on the ground experience in Asia with extensive experience advising on energy-related transactions and projects, particularly in the upstream oil and gas, LNG and power sectors. Richard regularly advises international oil and gas companies, host governments and project developers and sponsors in jurisdictions across South East Asia and the wider Asia-Pacific region.  Richard relocated to Singapore (from London) in 2008 and was responsible for establishing the SE Asia energy and projects practice of an international firm. He is currently ranked as a Band 1 energy lawyer in Singapore and Asia Pacific by the leading law directories, including Chambers and Legal 500.

Oil & Gas, LNG

Richard’s current and recent oil & gas and LNG engagements include advising:

  • Santos in relation to the acquisition of a 50% operating interest in in the Northwest Natuna Production Sharing Contract (PSC) from AWE Limited.

  • Woodside Energy Ltd. in relation to the acquisition by way of farm-in in several upstream interests (Blocks A6 and AD7) in Myanmar and related advice on country entry, sanctions, local branch registration and contracting / procurement aspects.

  • Woodside Energy Ltd. in relation to ongoing PSC and JOA negotiations in relation to the Myanmar offshore tender round, including the award of several new PSC interests to a Woodside / BG consortium.

  • INPEX Corporation in connection with long-term LNG offtake arrangements from the Prelude FLNG project in Australia, including drafting and negotiation of HOAs and SPAs with several Japanese counterparties.

  • BW Maritime on several major Floating Storage and Regasificaion Unit (FSRU) tender processes in Central and South America.

  • Mitsubishi Corporation and Diamond Gas International on the long term LNG marketing and offtake arrangements from the LNG Canada project including project structuring advice (upstream, midstream, downstream components), preparation of LNG term sheets and HOAs and vessel loading arrangements.

  • Golar LNG on the tender of several major FSRU and interconnecting onshore and offshore pipeline projects in Indonesia (Medan, Central Java and West Java), Pakistan and Kuwait.

  • GDF Suez in connection with their prospective investment in the Singapore LNG receiving terminal project, including joint venture and management services arrangements.

  • A confidential international oil & gas company in relation to the potential acquisition of an ASX-listed company and internal group re-organisation.

  • A confidential international oil & gas company in relation to the potential acquisition of Murphy Oil's upstream assets in Malaysia.

  • Northern Gulf Petroleum Holdings in connection with the acquisition by way of farm-in of an upstream interest in Sumatra, Indonesia.

  • A confidential international oil & gas company in relation to the potential acquisition of Hess Corporation's interest in the Natuna Sea Block A PSC.

  • Premier Oil in relation to the divestment of Premier Oil Vietnam South B.V. (holding an interest in Block 03-07 offshore Vietnam) and ongoing divestment work in Indonesia.

  • Mitsui Oil Exploration Company Limited in connection with several new upstream ventures in Singapore and Myanmar.

  • A confidential bidder in connection with its bid to acquire upstream assets from Newfield International in Malaysia.

  • Tenaga Nasional Berhad in connection with LNG purchase, regasification and gas supply arrangements in Malaysia and on the liberalisation of the natural gas market, including introduction of third party access requirements.

  • Several international oil & gas companies in connection with the onshore and offshore oil & gas tender rounds in Myanmar, including joint study and bidding arrangements.

  • Northern Gulf Petroleum Holdings in connection with several farm in and restructuring arrangements in respect of their interest in concessions G1, G3 and G6 offshore Thailand (other participants including Tap Oil and Pearl).

  • An international oil & gas major in connection with the establishment of a downstream (petroleum product) trading joint venture business in Myanmar.

  • BP in connection with its divestment to Pertamina of its 46% operated interest in the offshore North West Java PSC in Indonesia by way of sale of BP West Java Ltd.

  • JX Nippon and PTTEP in relation to their bid to acquire several upstream oil & gas interests from ConocoPhillips in Vietnam.

  • A confidential bidder in relation to the potential acquisition of an interest in the Chevron IDD (deepwater) project offshore Indonesia.

  • China Development Bank on the financing to Daewoo Corporation of the Shwe development, offshore Myanmar, including detailed review and analysis of the relevant PSC, JOA and utilisation arrangements.

  • The lead arrangers on the financing of several upstream interests in Malaysia for BC Petroleum (pursuant to a new Risk Service Contract).

  • BP in relation to the structuring of its divestment of upstream, midstream and downstream assets in Vietnam.

  • Premier Oil in connection with PSC-related advice on one of its upstream investments in Vietnam.

  • An international oil & gas major in relation to the funding and development of a number of coal bed methane (CBM) projects in Indonesia.

  • RWE GmbH on the establishment of a new commodity trading business in Singapore and regional trading joint venture.

  • BNP Paribas in relation to a borrowing base facility for Coastal Energy to fund the development of onshore and offshore interests in Thailand.

  • Mitsubishi Corporation in connection with crude oil trade finance and prepayment arrangements with Medco Energi (Indonesia).

  • Castle Peak Power Supply Company Limited on gas supply and transportation arrangements in China and Hong Kong, including the negotiation of a long term pipeline transportation agreement and operating agreement; advice on gas allocation and attribution issues.

  • BP on capacity sharing arrangements at the Isle of Grain LNG import and regasification terminal in the UK, including LNG delivery and gas sales arrangements into the UK market and the design and implementation of secondary capacity access to third party shippers.

  • BP in connection with the development of a split on-shore and off-shore exploration and production contract in Libya, together with potential LNG development, local joint venture arrangements, representing BP's single largest exploration commitment to date.

  • BP in connection with an equity investment in several Philippine upstream assets.

  • Peabody in relation to spot coal supply arrangements (under Singapore law) into China.

  • A confidential party in connection with a bid to acquire an interest in upstream and midstream assets in Papua New Guinea.

  • Singapore Petroleum Company in connection with its bid to acquire oil and gas assets in Europe and Africa and the development of CBM interests in Indonesia.

  • BP on its long term, multi-destination LNG offtake arrangements from Trains 1 and 2 of the Brass LNG Project in Nigeria.

  • BP on its upstream gas sales and production sharing arrangements and related long-term LNG sale and purchase arrangements from Train 1 of the Damietta (SEGAS) liquefaction facility in Egypt.

  • BG Plc and Petronas on regulatory (UIOLI) aspects to their joint capacity rights at the Dragon LNG terminal in Wales, UK.

  • The export credit agencies (including SACE, KEXIM and KEIC) on the multi-billion dollar project financing of the proposed Pars LNG Project in Iran including bankability analysis of long term LNG offtake contracts.

  • BP in connection with the development of a split on-shore and off-shore exploration and production contract in Libya, together with potential LNG development, local joint venture arrangements, representing BP's single largest exploration commitment to date.

  • BP on the implementation of a standard long term FOB / DES LNG offtake contract and advice on a number of short term and spot LNG sales contracts with middle east and far east counterparties.

Projects and infrastructure

Richard’s current and recent projects and infrastructure engagements include advising:

  • Tenaga Nasional Berhad (as part of a Malaysian / Indonesian consortium) on the development and financing of (i) a mine mouth coal project in Sumatra (ii) a 1200MW coal-fired power plant, also in Sumatra and (iii) a subsea power interconnection line between Sumatra and Peninsula Malaysia. Our role includes advice on feasibility and structuring aspects, shareholding and JV arrangements, development of project documentation and financing arrangements.

  • The Brunei Economic Development Board in connection with the development of (i) the Second Petrochemical Project (natural gas feedstock) developed by a major Japanese investor and (ii) the multibillion US$ PMB offshore redevelopment project, comprising a greenfield petrochemical aromatics plant and related power and desalination infrastructure, developed by a major PRC corporation.

  • Toyota Tsusho Corporation on its investment in a major petrochemical and fertiliser business in southern India and related financing arrangements.

  • Several Japanese corporations in connection with the development of mining and manufacturing projects in Sarawak, Malaysia, including power purchase agreements with the Sarawak Energy Board.

  • BG in connection with the refinancing and subsequent divestment of the Santa Rita power project in the Philippines.

  • A confidential bidder in connection with its bid to acquire Tuas Power, Senoko Power and PowerSeraya in Singapore from Temasek Holdings, including acquisition financing arrangements.

  • The Export-Import Bank of China in connection with the development and financing of a 338MW hydroelectric power project in Cambodia.

  • The sponsors on the development and financing of a greenfield petrochemicals (n-paraffin) plant in Singapore.

  • Oiltanking GmbH in connection with the development of a new oil storage facility in Karimun, Indonesia.

  • The sponsors and lenders in relation to the development and financing of a greenfield 70MW waste to energy power project in Sri Lanka.

  • Richard has contributed to various energy journals and news publications in Singapore and SE Asia, notably PFI, LNG Journal and Lexology. He is also a regular speaker at a number of leading energy conferences in Singapore including Gas Asia Summit, FLNG Summit, IPFA, Myanmar Upstream Congress.
