John McClenahan is the managing partner of King & Spalding’s Tokyo office and a member of the firm’s Global Transactions practice. He specialises in project development and project financing of infrastructure and energy projects, with particular expertise in power, FPSO, gas, and LNG projects. Mr. McClenahan regularly advises ECA and commercial lenders, sponsors, project companies and contractors on all aspects of projects from bidding through to financial close, covering projects throughout Asia, South America, the Middle East, Africa, and Europe. He also advises clients on acquisition finance, cross-border M&A, and joint ventures.

Mr. McClenahan is qualified as a solicitor in England and Wales, is admitted as a solicitor to the Supreme Court of New South Wales, and is also a Gaikokuho Jimu Bengoshi (Registered Foreign Lawyer) in Japan. He is a member of the First Tokyo Bar Association of Japan.

Representative Experience

  • Advising Japan Bank for International Cooperation and commercial lenders as common counsel in relation to the $622 million financing of the 920 MW gas-fired combined cycle power project in Thailand developed by Khanom Electricity Generating Company Limited, a subsidiary of Thailand's first independent power producer.

  • Advised MODEC, Inc., Mitsui & Co., Ltd, Marubeni Corporation, and Mitsui O.S.K. Lines Ltd. on their joint participation in a long-term charter of a FPSO system to Tullow Ghana Limited for use in the Tweneboa, Enyenra, and Ntomme fields in offshore Ghana. Awarded African Upstream Oil & Gas Deal of the Year 2013 by Infrastructure Journal.

  • Advised KOGAS on its acquisition of a 15% interest in the Gladstone LNG project in Queensland Australia and on several LNG purchase transactions from LNG projects in Australia and Middle East.

  • Advised Daewoo International, KOGAS, GAIL (India), and OVL on the development of the Shwe Gas Pipeline Project in Myanmar and Myanmar–China Gas Pipeline, the largest project to date in Myanmar.

  • Advised Japan Bank for International Cooperation, Korea Exim Bank, and commercial lenders on the project financing of the Donggi-Senoro LNG Project in Indonesia. Awarded Asia Pacific Oil and Gas Deal of the Year 2014 by Infrastructure Journal.

  • Advised on 20 project development and project financings of oil FPSO projects in Brazil, Australia, Vietnam, Ghana, and the Ivory Coast for MODEC, Mitsui & Co., Ltd., Marubeni Corporation, Mitsubishi Corporation, and Mitsui OSK Lines.

  • Advised Japan Bank for International Cooperation on the financing of power projects in Thailand, Philippines, the Middle East, and Vietnam.

  • Advised Mitsui & Co., Ltd. on its successful acquisition along with International Power of the international portfolio of Edison Mission Energy’s power projects. Awarded Power Acquisition Deal of the Year 2004 by Project Finance International.

  • Advised a Japanese Consortium comprising Mitsui & Co., Ltd., Mitsubishi Corporation, Daicel Chemical Industries and Iino Kauin on the development and financing of a Methanol production facility in Saudi Arabia.

  • Advised Korea EXIM Bank and China EXIM bank on the financing of the Minsheng container ship finance transaction. The first such finance transaction between Korea EXIM and China EXIM.

  • Advised Japan Bank for International Cooperation, The Bank of Tokyo-Mitsubishi UFJ Ltd., and other commercial lenders on the financing of a silicon monomer manufacturing facility in Thailand.

  • Advised Japan Bank for International Cooperation and 15 commercial lenders on the financing of six LNG tankers for Malaysia International Shipping Corporation Berhad.
