AG&P Group in the Reorganization and Recapitalization of its Businesses including an Investment by a consortium of leading Japanese Investors in AG&P LNG Marketing Pte. Ltd


King & Spalding represented leading LNG terminals and downstream infrastructure company, AG&P Group, in connection with the reorganization and recapitalization of its businesses. This included advising (i) AG&P in connection with its senior secured convertible loan facilities from a global infrastructure investor (and its portfolio companies), (ii) negotiating certain arrangements with its existing creditors and shareholders, and (iii) on the subsequent investment by a consortium of leading Japanese investors for a minority stake in AG&P LNG Marketing Pte. Ltd, a leading city gas distribution business in India. The Japanese consortium consisted of Osaka Gas, the second-largest city gas distributor in Japan, Sumitomo Corporation, one of Japan’s largest trading houses, and Japan Overseas Infrastructure Investment Corporation for Transport & Urban Development (JOIN), a Japanese government-private sponsored infrastructure investment fund. AG&P Group is a global leader in developing and operating LNG and gas logistics and distribution solutions.
