Experience with capital markets transactions is valued but not required.

Construction Transactions

Type of Experience: King & Spalding seeks a mid- to senior-level associate with 3-7+ years of experience for its construction transactions group in the Houston office (Dallas or Atlanta will also be considered). Experience in construction law is required, and prior engineering experience is preferred. Qualified candidates will have superior academic credentials. The work will involve the drafting and negotiation of construction-related contracts for large-scale energy, mining, and infrastructure projects located around the world, with each project generally ranging in value from $500 million to over $20 billion.

Project Finance

The Corporate practice group of King & Spalding is seeking highly qualified junior to mid-level (2-3 years) project finance attorneys to sit in the sponsor-side project finance group in our New York or Denver offices. Candidates should have familiarity with project finance (or a blend of project and acquisition finance) at a top-tier national or international law firm. Experience with credit, cash waterfall and security documentation is necessary, and expertise with diligence of large renewable and conventional power, infrastructure and energy projects will be a core competence. Strong applicants will have substantial experience running closings for project finance and acquisition (leveraged) finance transactions in power, infrastructure and energy, as well as related bid and commitment papers. A blend of lender and sponsor side experience is a benefit, including experience with tax equity financings and other financings for renewables, transportation infrastructure and conventional power generation. Experience with ISDA, EEI and other similar enabling documentation will be favorably considered. Technology Transactions and Sourcing

Type of Experience: King & Spalding seeks a mid-level associate to join the firm's industry-leading Technology Transactions and Sourcing (TTS) practice group in any of its U.S. offices, with a preference for Chicago or Atlanta. TTS lawyers structure, negotiate and close complex commercial agreements across industries, related to the development, deployment, licensing, use and disposition of technology and intellectual property, the sourcing of IT and business process services, and the negotiation and implementation of complex commercial, procurement and industrial transaction across industries. Our clients include the world’s leading developers and vendors of technology (including emerging companies) as well as buyers and licensees of technology, including many Fortune 500 and Global 2000 companies.
The ideal candidate will have 3-5 years of experience structuring and negotiating complex commercial contracts and technology deals, including software licensing and cloud services agreements; software, data and IP development agreements; channel, reseller and distribution agreements; e-commerce agreements; Al/ML development, licensing and services agreements; media, entertainment and other content licensing deals; global IT, facilities and business process outsourcing (BPO) transactions; and digital infrastructure (including data centers and telecom) deals. The ideal candidate will also have experience conducting IP due diligence in M&A, private equity and other corporate and financial transactions. Experience in the fields of AI/ML, semiconductor/chip development, drug and medical device development; digital assets and cryptocurrency; and payments and payment systems is welcome.
