Jeff Stein is a partner in the Atlanta office of King & Spalding, practicing in the Corporate Practice Group. He advises public companies regarding SEC reporting and compliance, finance transactions and corporate governance matters. Mr. Stein has experience in a broad range of public offerings and other corporate finance transactions, as well as swaps and derivatives. Significant recent matters include:

• Public offerings of $4.0 billion of notes by a transportation company and an aggregate of $2.5 billion of notes, preferred stock, and hybrid securities by a bank holding company



• Accelerated stock repurchase programs by five public companies, aggregating $1.8 billion



• Issuer tender offers by The Home Depot for $10.7 billion of common stock and by Mirant Corporation for $1.2 billion of common stock



• Representation of a shareholder in a NYSE company in structuring a series of variable pre-paid forward contracts (totaling $1 billion) and a joint venture party in writing a synthetic call on specified joint venture assets (valued at $6 billion)



• Advising the special committee of the board of directors of a Nasdaq company in an independent investigation of the company’s stock option grant practices

Mr. Stein is admitted to practice in Georgia and New York, and has been active in bar committees focusing on securities transactions and third-party legal opinions. Mr. Stein has conducted seminars on the subjects of corporate governance and compliance, securities regulation, SEC reporting, third-party legal opinions and public offerings. He has been listed by Chambers as one of America’s Leading Lawyers since 2003.

Mr. Stein graduated from Yeshiva University with a B.A. in 1977 and received his J.D. from Harvard University in 1980. He practiced in New York City from October 1980 until January 1985. He joined King & Spalding in 1985 and became a partner in 1988.
