Jaron Brown is an associate in King & Spalding’s Mergers & Acquisitions and Private Equity & Investment Funds Practice Groups. Prior to joining the firm in 2005, Mr. Brown was an associate in the Cleveland office of an Ohio-based firm. Mr. Brown brings to King & Spalding’s Corporate Practice his experience representing private equity funds in leverage buyout transactions, and public and private companies in M&A transactions and general corporate matters. He has experience counseling public companies in connection with corporate governance and compliance issues related to SEC, NYSE and NASD rules and regulations and investment advisor and broker dealer regulation, as well as preparing periodic and annual reports, proxy statements and other filings required under state and federal securities laws. Mr. Brown works closely with clients on general contracting, commercial transactions, joint ventures and strategic alliances.

  • Representation of Roper Industries, Inc. in its acquisition of Horizon Software International, LLC, a leading provider of comprehensive software solutions and related services to the K-12 education market and to healthcare, senior living, military and corporate markets.

  • Representation of Varel International, Ind., L.P. in its U.S. and U.K. corporate restructuring and related acquisition of Downhole Products Limited, a Scottish company which produces a wide range of technologically-advanced oilfield equipment used in the construction and completion of land, offshore and subsea wells.

  • Representation of SHV Holdings N.V. in its $1.44 billion sale of The David J. Joseph Company, one of the leading U.S. scrap processing and brokerage companies, to Nucor Corporation.

  • Representation of Arcapita Bank B.S.C.(c) in its $450 million acquisition of PODS, Inc., a provider of portable storage and moving solutions for residential and business customers.

  • Representation of Arcapita Bank B.S.C.(c) in its $369 million acquisition of Varel International, Ind., L.P., a producer of polycrystalline diamond compact and roller cone bits for the oil and gas bit market and producer of roller cone bits for the mining and industrial bit market.

  • Representation of American Commercial Lines LLC in its acquisition of substantially all of the assets of Elliott By Design Group LLC, a naval architecture and marine engineering firm.

  • Representation of EFACEC Engenharia, S.A. in its acquisition of Advanced Control Systems, Inc., a leading provider of smart grid solutions to the global electric power industry.

  • Representation of Novelis, Inc., a global leader in aluminum rolled products and aluminum can recycling, in its $6 billion acquisition by Hindalco Industries Ltd.

  • Representation of Arcapita Bank B.S.C.(c) in its sale of Smart Documents Solutions, an industry leader in healthcare document management.

  • Representation of Roper Industries, Inc. in its acquisition of Dynisco, a worldwide leader providing pressure and temperature sensors and analytical instruments.

  • Representation of Arcapita Bank B.S.C.(c) in its acquisition of 3P Delivery, General Transportation Services, Inc. and Affinity Logistics, home delivery logistics providers specializing in heavy items including appliances, building materials, and other heavy goods.

  • Representation of Roark Capital Group in its acquisition of CyberCore Technologies, a leading provider of information technologies services to a variety of federal government agencies with a focus on intelligence and security.

  • Representation of UCB, Inc. in its joint venture with Sanofi-Aventis U.S. LLC to develop, promote and market levocetirizine in the United States and Puerto Rico.
